Welcome to Great Northern Equipment Distributing (“GNE”). The www.gnedi.com website is referred to as the "GNE Site." Your use of the GNE Site, related GNE services, and GNE products constitutes your agreement and acceptance without modification of the notices, terms and conditions set forth herein (the "Terms"). You also accept the Terms when you create an account, make a purchase as a guest, or log in to the GNE Site. Additional or separate terms may apply to your interactions with other related websites, locations, and to your use of individual services or features available on a GNE Site, such as reviews. To the extent that the provisions of any additional terms conflict with these Terms, the provisions of these Terms will govern. References to "Great Northern Equipment," "Great Northern Equipment Distributing," “GNEDI,” "GNE," "our," "we," or "us" shall refer to Great Northern Equipment Distributing, Inc., and its affiliates, subsidiaries, agents, and designees. References to "you," or "your" shall refer to any user accessing viewing, or otherwise interacting with any GNE Site(s). We may make changes to the GNE Site and the Terms. It is your responsibility to review the Terms for updates or changes. If you do not agree with the Terms, you should not use the GNE Sites.

Use of the GNE Site

You may use the GNE Site for your personal, non-commercial use only. You may not use the GNE Site if you are under the age of 13. If you are between the ages of 13 and 18, you may use the GNE Site only with the supervision or involvement of a parent or guardian.

Information on Our Site

We try to be as accurate as possible with the information we present on the GNE Site. We will make reasonable efforts to accurately display the attributes of the products we sell. We do not warrant that product descriptions or other content is accurate, complete, or error free. Product prices offered on the GNE Site may vary from other advertised prices due to varying conditions in different geographic markets. Prices and promotions are subject to change. We cannot confirm the availability or price of an item until you place your order. Despite our best efforts, sometimes an item on the GNE Site may not be available, the offer may have been misstated, or an item may be mispriced. For any of these reasons, we may cancel your order or we may contact you for instructions on the order. The prices displayed on the GNE Sites are quoted in U.S. dollars and are valid and effective only within the United States, and such prices do not include shipping and handling or sales taxes, if applicable, which will be added to your total invoice price. You are responsible for the payment of any shipping handling costs.

Paying for Your Order

Generally, we'll charge your payment method for an item when we ship the item to you or once we confirm its availability. However, we may preauthorize your order amount with your credit card, credit account, or debit card issuer at the time you place the order, which may have an effect on your available credit line. When you pre-order with a debit card, we'll debit your card when you place the pre-order. For special delivery items, we'll charge your payment method when you confirm a delivery time.

Order Confirmation

While we will use our best efforts to fulfill all orders, GNE cannot guarantee the availability of any particular product displayed on the GNE Site. Our order confirmation to you does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. At any time after receipt of your order, we may accept, decline, or place quantity or other limits on your order for any reason. We may impose these limits on a per-person, per-order, or any other basis. If we reject, limit, or otherwise modify your order, we will attempt to promptly notify you using the email address you provide to us. If we cancel an order or part of an order that we've already charged you for, we'll refund you the full amount of the canceled portion of the order. We reserve the right to discontinue the sale of any product listed on the GNE Sites at any time without notice.

Use License

GNE grants you permission to view and use the GNE Site and to print individual pages from the GNE Site for your own personal, noncommercial use, provided that you agree to and accept without modification the notices, terms and conditions set forth herein. You may not modify, copy (except as set forth in the preceding sentence), distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, material, software, products or services from the GNE Site.

In addition, as a condition of your use of the GNE Site, you represent and warrant to Great Northern Equipment Distributing, Inc. that you will not use the GNE Site for any purpose that is unlawful, immoral or prohibited by these terms, conditions and notices. If you do not agree and accept without modification the notices, terms and conditions set forth herein, do not use the GNE Sites. Other than these Terms between you and GNE relating to the sale of products or services to you through the GNE Site, GNE will not enter into any agreement with you or create any obligation to you through this GNE Site and no attempt to create such an agreement or obligation will be effective.

The trademarks, service marks and logos (collectively the "Marks") used and displayed on this Site are registered and unregistered trademarks of GNE and others. Nothing on this GNE Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Mark displayed on the GNE Site, without the prior written permission of the Mark owner. GNE aggressively enforces its intellectual property rights to the fullest extent of the law. The name of Great Northern Equipment Distributing, Inc., GNE, or any of GNE’s trademarked product names; the GNE logo or the logo of any GNE trademarked product names; or the other GNE formatives may not be used in any way, including in advertising or publicity pertaining to distribution of materials on this GNE Site, without prior, written permission from GNE. GNE strictly prohibits use of the GNE logo as part of a link to or from any site unless establishment of such a link is approved in advance by GNE in writing. For any content that you submit, you grant GNE and its authorized third-party service providers a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

All content (including photos and all data contained or appended to the computer file of such photos) that you submit may be used and shared with authorized third-parties at GNE's sole discretion. GNE reserves the right to change, condense or delete any content on the GNE Site that GNE deems, in its sole discretion, to violate these Terms. GNE does not guarantee that you will have any recourse through GNE to edit or delete any content you have submitted. You acknowledge that you, not GNE, are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of GNE, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.

Disputes

You agree that this agreement and your use of the GNE Site are governed by the laws of the State of Minnesota, USA. You hereby consent to the exclusive jurisdiction and venue of the courts, tribunals, agencies and other dispute resolution organizations in Hennepin County, Minnesota, USA in all disputes (a) arising out of, relating to, or concerning the GNE Site and/or these Terms; (b) in which the GNE Site and/or these Terms present is an issue of a material fact; (c) in which the GNE Site and/or these Terms are referenced in a paper filed in a court, tribunal, agency or other dispute resolution organization; (d) arising out of relating to any products or services sold or distributed by GNE whether in store, in your home, over the phone, or online; and (e) related to GNE’s advertising, communication, delivery, or sales practices relating to its products and services. Use of the GNE Site is unauthorized in any jurisdiction that does not give full effect to all provisions of these Terms, including without limitation this paragraph and the warranty disclaimers and liability exclusions. GNE has endeavored to comply with all legal requirements known to it in creating and maintaining the GNE Site but makes no representation that materials on the GNE Site are appropriate or available for use in any particular jurisdiction. Use of the GNE Site is unauthorized in any jurisdiction where all or any portion of the GNE Site may violate any legal requirements and you agree not to access the GNE Site in any such jurisdiction. You are responsible for compliance with applicable laws. Any use in contravention of this provision or any provision of these Terms is at your own risk and, if any part of this agreement is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall govern such use.

WITH THE PRIOR AGREEMENT OF GREAT NORTHERN EQUIPMENT DISTRIBUTING, ANY CLAIM, DISPUTE OR CONTROVERSY ARISING OUT OF, RELATING TO OR CONCERNING THIS SITE AND/OR THIS AGREEMENT SHALL BE DECIDED BY BINDING ARBITRATION IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION AND ANY SUCH ARBITRATION PROCEEDINGS SHALL BE BROUGHT AND HELD IN HENNEPIN COUNTY, MINNESOTA, USA. CLAIMS MAY ONLY BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PURPORTED REPRESENTATIVE OF ANY CLASS. THE DECISIONS OF THE ARBITRATORS SHALL BE BINDING AND CONCLUSIVE UPON ALL PARTIES INVOLVED AND JUDGMENT UPON ANY AWARD OF THE ARBITRATORS MAY BE ENTERED BY ANY COURT HAVING COMPETENT JURISDICTION. THIS PROVISION SHALL BE SPECIFICALLY ENFORCEABLE IN ANY COURT OF COMPETENT JURISDICTION.

General

You agree that GNE may at any time and without notice change the terms, conditions and notices under which the GNE Sites are offered; however, any change to the terms after your last usage of the GNE Site will not be applied retroactively.

You agree that no joint venture, partnership, employment or agency relationship exists between you and GNE as a result of this agreement or your use of this GNE Site.

GNE’s performance of these Terms is subject to existing laws and legal process and nothing contained in this agreement is in derogation of GNE’s right to comply with law enforcement requests or requirements relating to your use of the GNE Site or information provided to or gathered by GNE with respect to such use.

These Terms, the Privacy Policy, and terms of sale constitute the entire agreement between you and GNE with respect to the GNE Sites. This agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and GNE with respect to this GNE Site. No modification of this agreement shall be effective unless it is authored by GNE or its affiliates. Any alleged waiver of any breach of this agreement shall not be deemed to be a waiver of any future breach. A printed version of this agreement and/or of any notice given by GNE in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms or your use of this GNE Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained by GNE in printed form.

Termination of Use

We may, in our sole discretion, terminate your account or your use of the GNE Sites at any time. You are personally liable for any orders that you place or charges that you incur prior to termination. We may change, suspend or discontinue all or any aspects of any GNE Sites at any time without prior notice.

This GNE Site and the materials within it are © Great Northern Equipment Distributing, Inc. Viewing or using this GNE Site may create a copy of GNE materials in your computer's random access memory and/or in your hard drive and/or in your proxy server.

Payment Terms

• Customers that qualify for credit are given terms of 1% 10 NET 30 unless otherwise stated in seasonal programs. Customers that do not qualify for open credit will be set up as credit card only.
• Credit Card payments are excluded from early payment discounts.
• For more information, see GNE Accounts Receivable Policy.

Ordering

• To receive the fastest service, order online through the Power Link. Please include Part Numbers, Purchase Order Number and indicate shipping preference (i.e. ship order complete or partial shipment allowed). See “GNE Communication” below for contact information.

Shipping

• Unless a preference is indicated on the Purchase Order, orders will be shipped best way.
• If GNE is unable to fill an entire order, partial shipment will be made, unless “Ship Complete” is indicated on the Purchase Order.
• Customer Will Calls are invited with a minimum 4 hour notice provided. Hours are 8 a.m. to 4:00 p.m. If possible, please notify sales of pick-up date at time of order placement.
• Will call orders must be paid via credit card or placed on approved credit terms. No cash or checks will be accepted by warehouse personnel.
• If Will Call product is not picked up within 3 business days, the order will be cancelled.
• A $50 Delivery Fee applies to orders delivered by a salesperson and will be added to the invoice. Deliveries in excess of 2 pallets will incur additional charges.
• Engines ordered in less than OEM pack quantities may incur additional packaging fees/charges.

Freight

• The Customer is responsible for filing a freight claim with the freight carrier for any freight damaged product. Notify the carrier at once if your package arrives open or damaged. We recommend noting on the freight bill any noticeable damage to carton or product. Save all packing and cartons for the carrier to inspect. This ensures proper freight claim handling.
• GNE must be notified of any product shortages within 24 hours of receipt.
• Freight is FOB Rogers, MN.
• Additional charges may apply for Manufacturer Direct shipments.

Returns

• All returns must be pre-approved and have a Sales Return Order number (SRO#) from Great Northern Equipment clearly marked on the exterior of the package or it will be refused. SRO#’s can be obtained by contacting a member of the Inside Sales Team at (800) 822-0295.
• Part returns. Subject to a minimum 20% restocking fee (could be higher if returned in poor condition). Parts must be in original, unopened packaging and part numbers must be clearly marked and grouped together. Part returns must be made within 60 days of the original invoice date. Electrical parts like Coil’s , Regulators , ECU’s etc. are NON-returnable.
• Power Equipment and Engine returns. Returns for these items must be made within 60 days of the original invoice date, returned in new condition (never gassed, oiled, or engine mounted), and will be subject to a restocking fee. The restocking fee is minimum 15% on these items. (Percentage could be higher depending on returned condition).
• Scratch and Dent Engines are sold “As Is” and are non-returnable.
• GNE Reserves the right to decline returns that arrive in unacceptable condition – return shipping will be at customer expense.

Price Changes

• Prices are subject to change without notice.
• GNE reserves the right to correct pricing errors on any / all print / electronic media.

Internet Sales

• Dealers shall not, directly or indirectly, sell any American Honda Corp. products by mail order or over the internet to geographies in which the dealer has no sales, installation and/or service personnel.
• Dealer shall sell the Products only to customers located within the United States or Canada and that are located within the geographic area where the Dealer’s sales force makes regular face-to-face visits with customers. The Dealer’s service staff shall set-up, instruct the user on the equipment (face-to-face), and provide after sale service and repairs. The customer must be located within a reasonable distance of the selling Dealer’s showroom.
• Please discuss product line specific rules and regulations with your GNE Representative prior to selling via the internet in your local dealer market.

Invoices / Statement Delivery

• All Invoices will be sent via e-mail (preferred), or in the daily mail. To update your e-mail address, please send your request to ar@gnedi.com.
• Statements are issued on the first of every month and are ONLY sent via e-mail. If you receive invoices electronically, then you will receive a statement electronically.

Payment Options

• Invoices may be paid via check, credit card (VISA, Mastercard, American Express, Discover), customer initiated ACH, or wire. Will Call orders require a credit card payment or established credit terms. No cash or check payments are accepted for Will Call orders. There is a $30.00 NSF fee for all returned checks.

Payment Discounts

• If the terms on your invoice include an early payment discount, you may deduct that percentage from the product total upon payment.
• Discounted terms are calculated from the Invoice Date and NOT the statement date.
• Discounts taken outside of the stated payment term will remain on your account until paid.
• Credit card payments are not eligible for discounts regardless of the terms on your invoice.

Remittance Information

• If the terms on your invoice include an early payment discount, you may deduct that percentage from the product total upon payment.
• All payments should be mailed to our lockbox, which is different than our physical address. Please send payments only to: Great Northern Equipment, PO Box 857439, Minneapolis, MN, 55485-7439.
• Any other documentation should be mailed to our physical address.

Credit Limits

• If the terms on your invoice include an early payment discount, you may deduct that percentage from the product total upon payment.
• If you have been approved for credit, your account must remain under the approved credit limit and in good standing. Past due invoices will affect open credit status and could cause your account to be placed on credit hold for all purchases. Great Northern Equipment uses Credit Safe Credit Services to evaluate credit worthiness and will re-check your credit if payments fall behind. Questions regarding invoice discrepancies must be addressed immediately.

Accounts 1-60 days past due

• If the terms on your invoice include an early payment discount, you may deduct that percentage from the product total upon payment.
• Upon request, copies of past due invoices will be faxed, e-mailed, or mailed as notice of past due amount.
• Depending on the balance due, you may also receive a follow up phone call.

Accounts 60-90 days past due

• Customer account will be placed on credit hold and no shipments will be processed until past due balance is paid in full.

Accounts 90-120 days past due

• Customer will receive a certified letter with payment options. This letter must be returned within 10 business days of receipt. Account will remain on hold until paid to current.
• Failure to return the certified letter or to maintain compliance with the payment plan will result in sending the customer account to a collection agency.
• Future reinstatement of open terms will be assessed on a case by case basis and may require completion of new credit application or account may be permanently changed to credit card only or prepayment terms.

Accounts 120 days past due

• Customer will be turned over to a collection agency, unless account has an approved payment plan and your payments are current.
• Customer accounts sent to collections will be closed. To reopen an account, reinstatement fees defined as outstanding balances, attorney fees and collection related fees must be paid to the collection agency or directly to GNE.
